Mission:

Keysight is looking for a Country Counsel to join our legal hub, to be responsible for providing legal, contracts, and compliance advice and support for Keysight entities in Spain and Italy and more broadly in EMEA

About the job:

Provide sound, practical and effective legal services to the companies' internal stakeholders in Spain, Italy and designated countries within EMEA, including:

  • Providing practical legal advice and support to management and HR in Spain and Italy, on a broad range of HR matters including consultation with Works Councils, Collective Bargain Agreements, Workforce Management Programs, Mutual Separation, Employment Disputes, Benefits and Entitlements.
  • Undertaking legal research into, development of, and training on HR, compliance, and corporate policies and procedures.
  • Investigating internal compliance and policy violations including provision of legal support to the companies' internal audit division.
  • Managing the Groups' corporate legals affairs in Spain, Italy and other designated countries.
  • Managing corporate initiatives, including amendment of registered items (such as corporate structure, capital amount and purpose of company), interim dividends, and change of sales model.
  • Providing legal support for M&A and divestment initiatives as and when required.
  • Responsible for the companies' corporate governance, including conducting and minuting Board of Directors and Shareholder general meetings.
  • Drafting, reviewing and negotiating all forms of agreements, including customer sales agreements, purchasing agreements, services agreements, collaboration agreements, R&D agreements, license agreements, codevelopment agreements, and nondisclosure agreements.
  • Ensuring that contracts negotiations and execution follow and conform to company duediligent process, guidelines, and approvals procedures.
  • Cost efficient management of external counsel engagement.

Required qualifications:


  • Registered with a Bar in Spain.
  • Understanding of Spanish and EU civil laws and corporate/commercial practice.
  • Understanding and experience in Spanish and EU employment law and HR related issues.
  • Understanding of Spanish and EU Corporate laws and Regulations.
  • English: businesslevel reading, writing, listening and verbal communication.
  • 5+ years post qualification experience.
  • Experience of working in a multicountry matrix organization, with adaptable communication skills to operate at all levels, including the Executive level.
  • Experience in managing legal and contract matters in Middle East and Africa or verbal and written communication skills in Arabic is beneficial.
