General Job Function:


Act as the Global Contracts Lead for support of Westinghouse Sales opportunities based out of Spain (serving customers in Spain, Southern Europe and Latin America / other Spanish speaking countries).

Primary focus on Operating Plant Services (OPS) BU but may be assigned occasional activities in support of Nuclear Fuel (NF), Energy Systems (ES), eVinci BU's or Digital & Innovation research agreements.


Prepare innovative and market responsive contract terms and conditions (T&Cs) for sale of Westinghouse products and services in support of the BU business plans.

As part of the Legal & Compliance team, analyze and advise on commercial, legal and technical risks with customer contract requirements.

Develop recommendations for contracting / negotiation strategy which effectively balances Westinghouse risks and rewards consistent with Westinghouse Baseline requirements.

Lead or support preparation and negotiation of complementary and other agreements including Proprietary Information Agreements (PIAs)/ Non-disclosure agreements (NDAs), licensing agreements, teaming agreements, customer contract T&Cs flowdowns to subcontracting agreements, and commercial settlement agreements.

Provide contract interpretation and guidance to BU personnel during project execution, as required.

Provide feedback and recommendations for continuous improvements of Legal & Compliance templates and forms and policies and processes to enhance customer satisfaction, competitive position, risk mitigation and financial performances.

Assist with Tecnatom and future M&A integration activities, including adaption of Westinghouse forms and templates. Position potentially involves up to 30% travel.


Duties and Responsibilities:


  • Support all sales activities with assigned BU partners. Analyze complex to highly complex and unique customer contracting requirements to assess commercial, legal and technical risks (e.g., warranty, delivery/risk of loss, payment terms), and develop commercial measures and strategies that appropriately balance business risks and rewards for complex global business initiatives consistent with Westinghouse Legal & Compliance requirements. Develop and implement intellectual property and proprietary information provisions to maximize Westinghouse value in the global marketplace. Close collaboration is required within the Legal & Compliance team and with our BU business partners.
  • Direct and lead commercial contract negotiations to support BU sales contracts, NDAs, teaming agreements, licensing agreements, and settlement agreements.
  • Interface with Global Supply Chain Solutions (GSCS) employees to identify appropriate flowdown of customer contract requirements to our subcontractors and suppliers in accordance with established company guidelines. Support Supplier negotiations on flowdown requirements.
  • As part of the customer contract analyses activities, complete the Contract Review Evaluation Tool (CRET), and Risk Assessment Worksheets on behalf of Legal, and assist BU partners with developing appropriate risk mitigation responses. Assist BU Sales leads with presentations to executive management for obtaining approvals for recommended contract positions, including deviations from Westinghouse Baseline contracting principles, under the company Limits of Authority (LOA) process.
  • Perform final reviews of all contract documents to support the order acceptance process and advise on identified concerns, including required additional approvals. Advise on authorized personnel to sign contract documents on behalf of the applicable Westinghouse company entity and assist Legal with preparation of powers of attorney (POA) documents when needed.
  • Prepare contract summary documents / job aids, as required, for major contracts (e.g., master services agreements, fuel agreements) to support BU commercial and project personnel with risk assessments and contract administration activities throughout the contract lifecycle.
  • Support resolution of emerging contract issues identified during project execution. Coordinate resolution within Legal & Compliance, BUs and other stakeholder groups.
  • Maintain a high degree of expertise in commercial, legal and global business practices. Collect and analyze contract trends with customers and competitors in Westinghouse served markets to direct and support contract and teaming strategies. Provide ongoing feedback to Legal & Compliance leads for applicable policies and processes.
