Corporate Legal Counsel to join our dynamic team.

As the Corporate Legal Counsel, you will play a key role in providing accurate and timely legal support and advice on a worldwide level.

Reporting directly to the CFO, this position offers an exciting chance to shape the legal landscape of a thriving international organization.


As the Corporate Legal Counsel, you will be responsible for a diverse range of legal duties and responsibilities, including:

  • Providing legal assistance during all stages of the companies' lifecycles of the Group (creation, registration of corporate changes, approval of annual accounts, UBOs statements, etc.) with assistance of local lawyers/fiduciaries when needed.
  • Providing legal assistance on management packages and group incentives.
  • Drafting or reviewing corporate legal documents (minutes of shareholders' meetings, board of directors' resolutions, capital transactions, share transfer agreements, shareholders' agreements, delegation of authorities, powers of attorney, etc.) and any other related contractual document.
  • Draft and revision of all kinds of commercial agreements: distribution, agency agreements, supply agreements, loan agreements, rental agreements, advertising agreements, nondisclosure agreements, etc. In general, all kinds of service agreements with clients or suppliers.
  • Performing legal research in various local legislations and case laws.
  • Taking part in the legal process and drafting of templates.
  • Managing external and internal legal resources where required.
  • Taking part in M&A process (draft and review of NDA, LOI, due diligence, shareholders' agreements and share purchase agreements, integration);
  • Taking part in the design/delivery of training programs suitable for the needs of other relevant departments.
  • Working with other team members on particular projects such as policies, processes, etc.
  • Revision of compliance of Personal Data Protection duties in all agreements and implementation of the Data Protection Program following the instructions of Central Services in Spain.
  • Safekeeping of contracts, corporate books and other important documentation (public deeds, etc.).

To excel in this role, you should possess the following qualifications and skills:

  • Law degree in Spain. A Master's degree in Corporate/Commercial Law would be advantageous.
  • Proficient knowledge of Spanish law is essential.
  • Approximately 710 years of relevant work experience in an international company or law firm.
  • Fluency in Spanish and English, both spoken and written.
  • Exceptional written and oral communication skills, with the ability to articulate complex legal issues clearly.
  • Demonstrated ability to assess business and legal risks, lead strategically, and develop innovative solutions.
  • Capability to quickly grasp complex areas of law and perform meticulous legal research.
  • Ability to handle multiple priorities and effectively manage time to meet deadlines.
  • Strong problemsolving skills and adaptability in an international business environment.
  • Excellent organizational and teamwork abilities, coupled with the capacity to work independently.
