BNP Paribas in its Securities Services business offers a wide range of services derived from the purchase and sale of financial instruments and units in investment funds, such as their settlement, custody, valuation, administration and financing and all financial transactions derived therefrom (dividend payments, capital increases, fund subscriptions and redemptions, etc.).


RESPONSIBILITIES:


Within the Securities Services Business Line of BNP Paribas SA Sucursal en España ("2S Spain"), and under the supervision of and hierarchical reporting to, the Local Head of Legal of 2S Spain.


  • Provide legal support to existing business/client lines of 2S Spain and any new local or global activity (including issuing legal analyses, legal advices and review/validation of legal documentation);
a) Take an active part in the negotiation and establishment of agreements for new clients or new deals with existing clients (support sales and relationship managers in their commercial negotiations, or directly engage the counterparty legal advisors to resolve technical issues) and specific 2S Spain providers;
b) Design, draft and validate template agreements and ensure that those are consistent by 2S legal department/platform guidelines and/or standards, if any;
c) Maintain the standard legal documentation up to date by including regulatory changes, and regularly present to products, sales and relationship management teams of 2S Spain, operations the impacts of those changes;
d) Actively participate to the definition and implementation of new products/services by 2S Spain ;
e) Manage cross-border files negotiations or legal issues in liaison with 2S legal teams in other locations/ 2S Legal platform;
g) Participate to consistency/practice groups set by the 2S legal department/platform to manage consistency or cross-border issues.


  • In accordance with 2S Legal department procedures and policies assist 2S in Spain, in the field of and manage any pre-litigation or litigation matters related to 2S Spain services, to the exclusion of matters related to tax, HR and financial crime;
  • Assist in the field of local corporate events and own account transactions (acquisition of business or companies) in collaboration with the Corporate Development department of 2S or BNPP;
  • Provide reporting to the Head of Legal of 2S Spain;
  • Work with external legal service providers;
  • Participate in the regulatory watch for 2S Spain, as relevant;
  • Work in cooperation with the Transversal Legal teams in central 2S Legal Department/Platform and in Group Legal platforms including in relation to: corporate matters, IT/procurement, regulatory changes etc
  • Work in cooperation with local (territory) legal team, where relevant and foster good relationships with local territory legal team
  • Jointly with his manager provide legal support to the existing business/client lines of 2S Latam (under the supervision of the Regional Head Legal 2S for America).

REQUIREMENTS:


Training:

  • Titúlo de estudios (Degree in Law)
  • Qualified lawyer after the Examination for Access to the Legal
Profession. (required only for junior lawyers)


EXPERIENCE:


  • Ideally, some professional experience in a Legal Department, of a Financial Institution or in an Investment Services Company, ideally in the Security Services/ Custody/ Funds sector/industry, or in a Legal Firm, and
working with national and foreign institutional clients (preferably investment banks, insurance companies and fund managers).
